These Terms and Conditions govern your use of the Tidecount Financial Services website and the services we provide. By accessing our website or engaging our services, you agree to these terms.

1. Services

Tidecount Financial Services provides bookkeeping, financial reporting, catch-up bookkeeping, tax return preparation, and related financial services to small businesses and individuals. Specific services are outlined in your signed service agreement.

Tidecount Financial Services is not a licensed CPA firm, law firm, or registered investment advisor. Nothing on this website or in our communications constitutes legal, tax strategy, or investment advice.

2. Service Agreements

All ongoing services require a signed Quarterly Bookkeeping Services Agreement. Services commence on the first of the month following execution of the agreement. The terms of the signed agreement govern the relationship between Tidecount Financial Services and the client.

Either party may cancel services with thirty (30) days written notice to hello@tidecount.com. Cancellation does not entitle the client to a refund of fees already paid for the current billing period. If a client cancels mid-quarter, remaining fees for that quarter are due in full unless Tidecount Financial Services is unable to perform services.

5. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely financial records and information. Tidecount Financial Services is not liable for errors or delays resulting from incomplete or inaccurate information provided by the client.

6. Limitation of Liability

Tidecount Financial Services' total liability for any claim shall not exceed the total fees paid by the client in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages of any kind.

All content on this website, including text, graphics, logos, and design elements, is the property of Tidecount Financial Services and may not be reproduced, distributed, or used without written permission.

9. Business Hours and After-Hours Services

Tidecount Financial Services operates Monday through Friday, 7:00 AM to 3:30 PM Eastern Time. Messages received outside of business hours will be addressed on the next available business day. After-hours emergency assistance is available at a rate of $97 per hour, subject to availability, and must be requested via email to hello@tidecount.com.

10. Binding Arbitration

Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in Duval County, Florida under the rules of the American Arbitration Association. Both parties waive the right to a jury trial or class action. The arbitrator's decision is final and binding.

11. Governing Law

These Terms are governed by the laws of the State of Florida. Matters not subject to arbitration shall be resolved in the appropriate courts of Duval County, Florida.
